On January 7, 2022, the Monitor served the Notice of Final Distribution on the Service List to inform the Creditors that the Monitor intends to effect a final distribution under the Amended and Restated Joint Plan of Compromise and Arrangement of Sears Canada Inc. and certain of its affiliates (the "Plan") on or around Friday, April 8, 2022. Creditors are referred to and strongly encouraged to read the Notice of Final Distribution for details. Le 7 janvier 2022, le Contrôleur a signifié l’Avis de la Distribution finale aux entités figurant sur la Liste de signification afin d’informer les Créanciers que le Contrôleur a l’intention de faire une distribution finale aux termes du Plan de transaction et d’arrangement conjoint modifié et mis à jour de Sears Canada Inc. et de certains membres de son groupe (« Plan ») vers le vendredi 8 avril 2022. Pursuant to the Amended and Restated Meetings Order granted October 27, 2020, the meetings of each class of Affected Unsecured Creditors were held on November 16, 2020, for the purposes of considering and voting on the Amended and Restated Plan of Compromise and Arrangement (the "Plan"). The Plan was approved by the Required Majorities of each Unsecured Creditor Class. Accordingly, the Applicants will seek Court sanction of the Plan at the Sanction Hearing scheduled for November 23, 2020. Aux termes de la version modifiée et mise à jour de l’Ordonnance relative aux assemblées délivrée le 27 octobre 2020, les assemblées de chacune des catégories des créanciers non garantis visés aux fins de l’examen du Plan de transaction et d’arrangement conjoint modifié et mis à jour (« Plan ») et du vote à son égard, ont eu lieu le 16 novembre 2020. Le Plan a été approuvé par les majorités requises de chaque Catégorie de créanciers non garantis. Par conséquent, les requérants demanderont l’homologation du Plan par la Cour à l’Audience d’homologation devant avoir lieu le 23 novembre 2020.

On October 27, 2020, the Honorable Justice Hainey granted an Amended and Restated Meetings Order for the meetings of the creditors to both the Sears and the SLH parties. Pursuant to the Receivership Orders of October 16 and December 18, 2018, on January 3, 2019 the Monitor delivered its Receivership Certificate. In accordance with paragraph 3 of the Receivership Order, the Receivership Effective Date shall be January 7, 2019.

Transport Inc., The Cut Inc., Sears Contact Services Inc., Initium Logistics Services Inc., Initium Commerce Labs Inc., Initium Trading and Sourcing Corp., Sears Floor Covering Centres Inc., 173470 Canada Inc., 2497089 Ontario Inc., 6988741 Canada Inc., 10011711 Canada Inc., 1592580 Ontario Limited., 955041 Alberta Ltd., 4201531 Canada Inc., 168886 Canada Inc., and 3339611 Canada Inc. (together, the "Applicants" or the "Sears Canada Group") sought and obtained an order (as amended from time to time, the ("Initial Order ")) under the Companies' Creditors Arrangement Act (the "CCAA") from the Ontario Superior Court of Justice (Commercial List). Pursuant to the Initial Order, FTI Consulting Canada Inc. ("FTI" or the "Monitor") has been appointed Monitor. The Initial Order also provides for a stay of proceedings for an initial thirty (30) day period subject to further extensions by the Court, ("the Stay of Proceedings"). The Sears Canada Group Stay of Proceedings has been extended by the court until July 22nd, 2017. | |
