FTI Consulting Canada Inc. / CFFI Ventures Inc.
On March 13, 2026, CFFI Ventures Inc. (the "Applicant") sought and obtained an order (the "Initial Order"), as amended from time to time, from the Supreme Court of Nova Scotia (the "Court") under the Companies' Creditors Arrangement Act, R.S.C. 1985, c. C-36, as amended (the "CCAA"). The Initial Order provides, among other things, a stay of proceedings until and including March 23, 2026 (the "Stay Period") which may be extended by the Court from time to time. Pursuant to the Initial Order, FTI Consulting Canada Inc. has been appointed as monitor (the "Monitor"). On June 30, 2026, the Court issued an order extending the Applicant's Stay Period until and including September 18, 2026. In accordance with the Sale Process, if no notices of intent to bid that reflect a reasonably likely prospect of culminating in a "Qualified Bid" (i.e., an "NOI" as defined in the Sale Process) were received by the Monitor on or before 11:59 p.m. (Atlantic Time) on July 21, 2026, then, amongst other things, the Sale Process could be terminated by the Monitor and FTI Capital Advisors - Canada ULC (the "Sale Advisor"), in consultation with certain parties (the "Sale Process Consultation Parties"). No NOIs were received by the applicable deadline and, following consultation with the Sale Process Consultation Parties, the Sale Process has been terminated by the Monitor and the Sale Advisor.
