FTI Consulting Canada Inc. / Mitel Networks Corporation

On March 9 and 10, 2025 (the "Petition Date"), MLN TopCo Ltd. ("TopCo") and certain of its affiliates, including Mitel Networks Corporation ("MNC") (collectively, the "Debtors"), commenced proceedings in the United States Bankruptcy Court for the Southern District of Texas (Houston Division) (the "U.S. Bankruptcy Court") by filing voluntary petitions for relief under chapter 11 of title 11 of the United States Code (the "Foreign Proceeding"). The cases commended by the Debtors in the U.S. Bankruptcy Court are referred to as the "Chapter 11 Cases".

Stretto Inc.("Stretto") was appointed as claims and noticing agent for the Debtors in the Foreign Proceeding. On March 10, 2025, the Ontario Superior Court of Justice (Commercial List) (the "Court"), issued an order (the "Interim Stay Order") granting a stay of proceedings against MNC, among other granted relief, and recognized: (i) MNC as the proposed foreign representative in respect of the Chapter 11 Cases (the "Proposed Foreign Representative"); and (ii) FTI Consulting Canada Inc. as the proposed information officer (the "Proposed Information Officer").

On March 19, 2025, the Court issued an order (the "Initial Recognition Order") recognizing, among other things:
(i) MNC as the foreign representative (the "Foreign Representative") as defined in section 45 of the CCAA in respect of the Foreign Proceeding; and
(ii) Foreign Proceeding as a foreign main proceeding as defined in section 45 of the CCAA in respect of MNC.

Furthermore, on March 19, 2025, the Court also issued an order (the "Supplemental Order"), granting the following, among other things:
(i) recognition of certain orders granted by the U.S. Bankruptcy Court;
(ii) appointment of FTI as the information officer of the Court (the "Information Officer");
(iii) approval of the Administration Charge, the D&O Charge, and the DIP Charge (collectively, the "Charges").
