The Second Report of the Receiver informs the Court of the following: (a) background about the Company and the receivership proceeding; (b) the results of the Receiver's efforts to market and offer the Property for sale in accordance with the terms of the Bidding Procedures; (c) the proposed transaction with Eaze Technologies, Inc.; (d) the proposed distributions to be made by the Receiver; (e) the status of the Gotham Green Litigation; (f) the status of the Flow Capital dispute; (g) an update on the activities of the Receiver; (h) the fees and disbursements of the Receiver and its counsel; and (i) to seek an Order of the Court for: approving the Transaction, to make one or more distributions to SP1, sealing the Fong Affidavit, approving the fees and disbursements of the Receiver and its counsel; and approving this Second Report and the activities of the Receiver. | |

The First Report of the Receiver informs the Court of the following: (a) certain background information regarding the Company and its creditors; (b) an update on certain of the activities of the Receiver since the date of the Receivership Order; (c) information regarding proposed bidding procedures for the sale of the Company's Property; and (d) provides details regarding litigation commenced against the Company and certain of its subsidiaries in the State of California and the Receiver's proposed next steps in relation thereto. | |
