Baffinland - Sale and Investment Solicitation Process

Current Sale Process: On October 9, 2026, the Court granted an order (the "SISP Approval Order") authorizing the Debtors to undertake a sale process. The CRO, in consultation with the Debtors, with the assistance of Morgan Stanley Canada (the "Transaction Advisor") and under supervision of the Monitor is authorized to conduct the SISP.

The SISP Order, among other things, orders that the SISP (subject to any amendments thereto that may be made in accordance therewith and the terms of this Order) be and is hereby approved, and the CRO, in consultation with the Debtors, with the assistance of Morgan Stanley Canada Limited (the "Transaction Advisor"), and under the supervision and oversight of the Monitor, is hereby authorized and directed to conduct and implement the SISP pursuant to the terms thereof.
