The conditions to Closing as set out in Article 6 of the Lajord Purchase Agreement have been satisfied or waived by the Receiver and the Lajord Purchaser; and 3. The Transaction has been completed to the satisfaction of the Receiver. | |

The purpose of this Third Report of the Receiver (the "Third Report") is to provide the Court with information regarding: a) the status of the previously-approved transactions resulting from the SISP; b) the Successful Bid resulting from the Receiver's negotiations with the potential purchaser of the Vigro Purchased Assets and the proposed Vigro Purchase Agreement; and c) the activities of the Receiver since it issued its Second Report dated November 4, 2024; and related relief. | |

The conditions to Closing as set out in Article 6 of each of the Zealandia Purchase Agreement has been satisfied or waived by the Receiver and the Zealandia Purchaser; and 3. The purpose of this Second Report of the Receiver (the "Second Report") is to: a) provide the Court with information regarding (i) the SISP, including steps taken in relation to the SISP to date; (ii) the Successful Bids selected under the SISP and the proposed Purchase Agreements; and (iii) the activities of the Receiver since it issued its First Report dated August 13, 2024; and b) recommend approval of the requested orders approving the Zealandia Purchase Agreement, Lajord Purchase Agreement, and related relief. | |
