October 30, 2020
Pursuant to the Termination Order, the termination of the CCAA recognition proceedings is effective upon the filing of a certificate by the Information Officer. The Debtors confirmed that the Effective Date of the Plan of Reorganization occurred on October 30, 2020, and the Information Officer filed this certificate accordingly.
 
 Order (re: Approval of Information Officer's Activities and Fees) October 30, 2020
The Order, inter alia, approves the Information Officer's fees, disbursements, and activities, as well as the fees and disbursements of the Information Officer's legal counsel, through to termination of the CCAA recognition proceedings effective upon the filing of a certificate of the Information Officer.
 
 Recognition Order (Recognition of Additional U.S. Orders in Foreign Main Proceeding) October 30, 2020
The Recognition Order dated October 30, 2020 recognized certain additional Orders in the Chapter 11 Cases including:
(a) The 41st Lease Rejection Order; and
(b) 46th Assumption and Assignment Order.
 
 Termination Order (Foreign Main Proceeding) October 30, 2020
The Termination Order, inter alia, approves (i) termination of the CCAA recognition proceedings, (ii) discharge of the Information Officer, and (iii) release of the Administration Charge, upon the filing of a certificate of the Information Officer confirming occurrence of the Effective Date (as such term is defined in the Plan).

The Recognition Order dated October 16, 2020 recognized certain additional Orders in the Chapter 11 Cases including:

The Order, inter alia, approves the Information Officer's activities through October 9, 2020, and its fees and disbursements through October 4, 2020 as well as the fees and disbursements of Information Officer's legal counsel through September 25, 2020.

June 29, 2020
The Initial Recognition Order, inter alia, provided the following relief:
(a) Declared that GNC Holdings is a "foreign representative" as defined in section 45 of the CCAA (the "Foreign Representative");
(b) Declared that the centre of main interests for each of the Debtors is the United States of America; and
(c) Recognized the Chapter 11 Cases as a "foreign main proceeding".

The Supplemental Order, inter alia, provided the following relief:
(a) Recognized several of the First Day Orders in the Chapter 11 Cases, including the Foreign Representative Order, the Interim DIP Order, the Interim Cash Management Order, the Store Closing Order, the Interim Wages Order, and the Interim Customer Programs Order;
(b) Appointed FTI Canada as information officer;
(c) Granted a stay of proceedings against the Debtors;
(d) Granted a super-priority charge (the "DIP Lenders' Charges") on the Debtors' property in Canada for the benefit of GLAS Trust Company LLC, as administrative collateral agent for and on behalf of itself and the other lenders party thereto (the "DIP Term Lenders"), and JP Morgan Chase N.A. as administrative agent and collateral agent for an on behalf of themselves and the other lenders party thereto (the "DIP ABL FILO Lenders", and collectively with the DIP Term Lenders, the "DIP Lenders").

The Consulting Agreement Approval Order, inter alia, provided the following relief:
(a) Recognized the Interim Store Closing Order in the Chapter 11 Cases;
(b) Approved the Consulting Agreement; and
(c) Approved and authorized the Debtors to conduct the going out-of-business sale process in Canada in accordance with the Interim Store Closing Order, the Canadian Store Closing Procedures, the Canadian Sale Guidelines (as defined in the Interim Store Closing Order) and the Consulting Agreement.

 
 Endorsement of Justice Koehnen, re: Interim Order June 24, 2020
 
 Interim Order (Foreign Main Proceeding) June 24, 2020
The Interim Order, inter alia, provided the following relief:
(a) A stay of proceedings with respect to the Debtors' business and property, including its officers and directors; and,
(b) All persons having oral or written agreements with the Debtors or statutory or regulatory mandates for the supply of goods and/or services in Canada are hereby restrained until further Order of the Court from discontinuing, altering, interfering with, or terminating the supply of such goods or services.
