Cinram International Inc., Cinram International Income Fund, and the Applicants - Reports

The following reports have been filed in the proceedings:

 Nineteenth Report of the Monitor November 27, 2015
The purpose of this Nineteenth Report of the Monitor is to inform this Honourable Court with respect to the following:
a) the status of the CCAA Parties' CCAA Proceedings;
b) the CCAA Parties' financial performance since August 15, 2015 and a comparison of actual to forecast results;
c) the cash flow forecast to February 26, 2016 (the "Cash Flow Forecast"); d) the CCAA Parties' request for an Order, inter alia:
i. extending the Stay Period to the earlier of (i) the filing of the Monitor's Certificate (as defined below), or (ii) 11:59 p.m. on February 26, 2016;
ii. approving the various reports of the Monitor and the activities of the Monitor described therein;
iii. approving the fees and disbursements of the Monitor and the Monitor's counsel;
iv. providing for the termination of these proceedings and the discharge and release of the Court-ordered charges granted in the CCAA Proceedings;
v. providing for the discharge of the Monitor and a release of claims in favour of the Monitor, its counsel and their respective affiliates and officers, directors, partners, employees and agents; and
e) the Monitor's conclusions and recommendations.
 
 Eighteenth Report of the Monitor August 26, 2015
The purpose of this Eighteenth Report is to inform this Honourable Court with respect to the following:
a) the status of the CCAA Parties' CCAA Proceedings;
b) the CCAA Parties' financial performance since May 16, 2015 and a comparison of the actual to forecast results;
c) the cash flow forecast to December 4, 2015 (the "Cash Flow Forecast"); d) the CCAA Parties' request for an Order, inter alia, extending the Stay Period to December 4, 2015; and. e) the Monitor's conclusions and recommendations.
 
 Seventeenth Report of the Monitor July 20, 2015
The purpose of this Seventeenth Report is to inform this Honourable Court with respect to the following:
a) ) the CCAA Parties' request for an Order approving the sale of real property located in Louisville, Kentucky (the "Property"); and
b) the Monitor's conclusions and recommendations.
 
 Sixteenth Report of the Monitor May 27, 2015
The purpose of this Sixteenth Report is to inform and/or provide this Court with an update on the following:
a) the status of the CCAA Parties' CCAA Proceedings;
b) the CCAA Parties' financial performance since November 22, 2014 and a comparison of the actual to forecast results;
c) cashflow forecast to September 4, 2015 (the "Cash Flow Forecast");
d) the CCAA Parties' request for an Order, inter alia, extending the Stay Period to September 4, 2015; and
e) the Monitor's conclusions and recommendations
 
 Fifteenth Report of the Monitor November 25, 2014
The purpose of this Fifteenth Report is to provide information with respect to the;
a) the status of the CCAA Parties' CCAA Proceedings;
b) the CCAA Parties' financial performance since May 17, 2014 and a comparison of the actual to forecast results;
c) the cash flow forecast to June 5, 2015 (the "Cash Flow Forecast"); and
d) the CCAA Parties" request for an Order, inter alia, extending the Stay Period to June 5, 2015."
 
 Fourteenth Report of the Monitor October 8, 2014
The purpose of this Fourteenth Report is to inform and/or provide the Court with an update on the following:
a) the status of the CCAA Parties' CCAA Proceedings;
b) the CCAA Parties' request for an Order authorizing and directing the Royal Bank of Canada ("Royal Bank") to return to C International Income Fund funds in the amount of U.S. $237,932.77 currently frozen by the Royal Bank in a bank account bearing the name 8787425 Canada Corporation and trading under the name of Cinram Group Inc. (the "Release of Funds Order");
c) the CCAA Parties' request for an Order (the "Receivership Discharge Order") approving the fees and disbursements of FTI Consulting Canada Inc. ("FTI") in its capacity as receiver (in such capacity, the "Receiver") of the Limited Receivership Property (as defined below) of C International Inc., formerly Cinram International Inc. ("CII"); discharging FTI as Receiver of the Limited Receivership Property of CII; and the Monitor's conclusions and recommendations."
 
 Thirteenth Report of The Monitor May 23, 2014
The purpose of this Thirteenth Report is to provide an update on a) the status of the CCAA Parties' CCAA Proceedings; b) the CCAA Parties' financial performance since November 23, 2013; c) the CCAA Parties' cash flow forecast for the period covered by the requested stay extension; and d) the CCAA Parties' request for a stay extension until December 5, 2014.
 
 Twelfth Report of The Monitor March 24, 2014
"The purpose of the Twelfth Report of the Monitor is to inform the Court of: a) the CCAA Parties' request for an Order approving the sale of real and personal property located at 1400 East Lackawanna Avenue, Olyphant, Pennsylvania; and b) the planned distributions to the First Lien Administrative Agent on behalf of the First Lien Lenders."
 
 Eleventh Report of The Monitor December 2, 2013
The purpose of this Report is to update the Court with respect to the following:
(i) Status of the CCAA Parties' CCAA Proceedings; and
(ii) The CCAA Parties' financial performance since June 14, 2013, and a comparison of the actual to forecasted results.
(iii) Cashflow forecast to June 6, 2014 (the 'Cashflow Forecast').
(iv) The CCAA Parties' request for an Order, inter alia:
a.) Extending the Stay Period to June 6, 2014
b.) Approving the Monitor's activities and the Monitor's and its counsel's fees and disbursements; and
c.) Approving the fees of FTI in its capacity as the Receiver of the CII bank account (in such capacity , the "Receiver",); and
d.) The Monitor's conclusions and recommendations.
 
 Tenth Report of The Monitor October 25, 2013
The purpose of the Tenth Report is to update the court with respect to the following:
(i) Status of the CCAA Parties' CCAA proceedings; and
(ii) Planned distributions to the First Lien Administrative Agent on behalf of the First Lien Lenders.
 
 Ninth Report of The Monitor June 20, 2013
The purpose of the Ninth Report of the Monitor is to update the court with respect to the following:
(i) the status of the CCAA Parties' CCAA Proceedings
(ii) the CCAA Parties' financial performance since December 31, 2012 and a comparison of the actual to forecast results
(iii) the weekly cashflow forecast to December 6, 2013
(iv) the CCAA Parties' request for an Order, inter alia, extending the Stay Period to December 6, 2013
(v) the Monitor's conclusions and recommendations
 
 Eighth Report of the Monitor March 27,2013

The purpose of the Seventh Report of the Monitor is to provide an update on the European Share Sale Transaction
 
 Sixth Report of the Monitor January 16, 2013
The purpose of the Sixth Report of the Monitor is to update the Court with respect to:
i) The status of the CCAA proceedings
ii) CCAA Parties financial performance since October 6, 2012
iii)The CCAA Parties request for an order:
a)Extending the Stay Period to June 28, 2013;
b)Authorizing the Share Sellers to accept the Share Purchase Offer; and
c)Other relief.
 
 Fifth Report of The Monitor December 17, 2012
The purpose of the fifth Report of the Monitor is to update the Court with respect to:
i) providing an update on the status of the Share Sale Transaction.
 
 Fourth Report of the Monitor October 12, 2012
The purpose of the Fourth Report of the Monitor is to update the Court with respect to:
i) status of the CCAA Parties' CCAA proceedings;
ii) the CCAA Parties' financial performance since August 31, 2012 and a comparison of the actual to forecast results;
iii)the weekly cashflow forecast to February 1, 2013
iv)authorizing the Monitor to make certain distributions to the First Lien Administrative Agent on behalf of the lenders under the Amended and Restated Credit Agreement dated as of April 11, 2011
v)sealing the Cashflow Forecast pending further Order of this Court
vi)granting the Monitor additional powers and protections;
vii)establishing an Administrative Reserve;
viii)establishing a Transitional Cost Reserve;
ix)releasing the former and current trustees, directors and officers of theCCAA Parties
x)the CCAA Parties' request for an Order, inter alia, appointing FTI asreceiver without security of the bank account of CII
xi)summary of the Monitor's activities since June 25, 2012, the Monitor's and its legal counsel's professional fees, and the Monitor's conclusions and recommendations.
 
 Third Report of the Monitor September 9, 2012
The purpose of the Third Report of the Monitor is to update the Court with respect to:
i) informing the Court on the Applicants'request for an Order, inter alia, extending the Stay Period to October 26,2012 and sealing the Cashflow Forecast pending further Order of this Court.
 
 Second Report of the Monitor August 17, 2012
The purpose of the Second Report of the Monitor is to update the Court with respect to:
i)progress in the Chapter 15 proceedings and to provide the Monitor's comments on theApplicants' request for an Order, inter alia, assigning the rights and obligations of CII under certain contracts, agreements and leases to the Purchaser and/or one ormore of its nominees in accordance with the Asset Purchase Agreement pursuant to section 11.3 of the CCAA. 11
 
 First Report of The Monitor July 9, 2012
The purpose of the First Report of the Monitor is to update the Court with respect to:
i)approving the sale of substantially all of the property and assets used inconnection with the business carried on by Cinram in North America (except for certain excluded assets) ('Asset Sale Transaction') pursuant to the Asset Purchase Agreement dated June 22, 2012 (the "Asset Purchase Agreement") between CII and Cinram Acquisition, Inc. (the"Purchaser");
ii)approving the sale of all of the issued and outstanding shares of Cooperatie Cinram Netherlands UA and also the business carried on by Cinram in Europe('Share Sale Transaction');
iii)authorizing CII to enter into the Asset Purchase Agreement and the Share Sellers to enter into the Share Purchase Offer;
iv)authorizing CII, Cinram, Inc., Cinram Retail Services LLC, One K Studios, LLC, Cinram Distribution LLC and Cinram Manufacturing LLC(collectively, the "Asset Sellers") to complete the Asset Sale Transaction;
v)authorizing the Share Sellers to complete the Share Sale Transaction;
vi)vesting all of the Asset Sellers' right, title and interest in and to the Purchased Assets (as defined in the Asset Purchase Agreement)
vii)sealing the Confidential Supplement until further Order of this Court; and
viii)extending the Stay Period to September 14, 2012
 
 Pre-filing Report of the Proposed Monitor June 25, 2012
Pre-filing report of FTI Consulting Canada Inc., in its capacity as proposed Monitor of the Applicants.
The purpose of this report is the following:
- FTI's qualification to act as Monitor;
- insolvency of the Applicants;
- objectives of the CCAA proceedings;
- support agreement with certain existing lenders;
- proposed stay of proceedings with respect to the CCAA Parties' Subsidiary Counterparties;
- authorization to carry out the terms of the investment banker's engagement letter;
- funding of the CCAA Proceedings, including overview of the 13-week cash flow forecast and proposed DIP financing;
- the CCAA Parties' cash management system;
- proposed payment of certain pre-filing arrears;
- approval of key employee retention plans;
- proposed trustee, director, and officer protection;
- required Court-ordered charges;
- financial sale thresholds; and
- proposed creditor notification procedures.
